1. What PavePlace Is

PavePlace is a marketplace that connects independent parties. PavePlace does not itself provide, perform, supervise, or guarantee paving services, hauling, or materials.

All paving work, hauling, and material supply visible through the platform is performed or provided by independent third parties — contractors, truckers, and suppliers — who are solely responsible for the quality, safety, legality, and completion of their services and products. PavePlace is not a contractor, employer, general contractor, staffing agency, or agent of any service provider listed on the platform.

By using PavePlace you acknowledge that you are entering into agreements directly with these independent parties and that PavePlace is not a party to those agreements except as a payment and communications intermediary as described in these Terms.

2. Eligibility and Accounts

Age requirement

You must be at least 18 years old to create a PavePlace account or use the platform in any capacity. By creating an account you represent and warrant that you meet this requirement.

Accurate information

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. Providing false or misleading information — including misrepresenting your identity, licensing status, insurance coverage, or service area — is grounds for immediate account termination and may expose you to legal liability.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@paveplace.com if you become aware of any unauthorized use of your account.

Service-side verification

Contractors, truckers, and suppliers must complete PavePlace's verification process — including submission of licensing documentation, proof of insurance, and government-issued identification, and consent to a background check where required — before they may bid on or accept jobs through the platform. Verification does not constitute PavePlace's endorsement or guarantee of any individual or business. 3. Geographic Eligibility

Service providers (contractors, truckers, and suppliers) may only bid on, accept, or fulfill jobs in the states and geographic areas for which they have been verified and approved by PavePlace. Approval is based on the licensing and insurance documentation submitted during verification and is specific to the jurisdiction(s) covered by those credentials.

Misrepresenting your licensing, insurance, or service area — or taking any action to circumvent PavePlace's geographic eligibility controls — is a material breach of these Terms and grounds for immediate account termination. Such conduct may also result in civil or criminal legal liability under applicable contractor licensing laws.

PavePlace currently serves the New England region. 4. Payments and Escrow

Payment processing

All payments through PavePlace are processed by a third-party payment processor. By initiating a payment you agree to that processor's terms of service and authorize PavePlace to instruct the processor on your behalf as described here. Escrow and milestone releases

For jobs facilitated through the platform, homeowner payments are held by the payment processor and released to the contractor in milestone stages: approximately 20% upon job commencement, 40% at a defined mid-project milestone, and 40% upon completion and homeowner confirmation. Specific release triggers and timelines are set forth in the job agreement between the parties and displayed in the app. [Attorney to confirm: whether the escrow/milestone structure requires specific trust-account handling, licensure, or contractual disclosures; confirm that release mechanics are enforceable and that PavePlace's role as intermediary does not create fiduciary obligations]

Platform fees

PavePlace charges fees to service providers for use of the platform. Disputes and refunds

Payment disputes between homeowners and service providers should first be raised through PavePlace's in-app dispute process. PavePlace may, in its discretion, facilitate resolution but is not an arbiter and makes no guarantee of any particular outcome. 5. User Conduct

You agree not to use PavePlace to:

  • Misrepresent your identity, credentials, licensing, insurance, or affiliation with any business
  • Bid on or accept jobs in jurisdictions where you are not licensed and approved to work
  • Circumvent or attempt to circumvent platform fees, escrow controls, or geographic eligibility requirements
  • Contact other users off-platform to conduct transactions that originated through PavePlace for the purpose of avoiding platform fees
  • Post false, misleading, defamatory, or fraudulent content, reviews, or job listings
  • Harass, threaten, or discriminate against any user
  • Violate any applicable federal, state, or local law, including contractor licensing laws, consumer protection laws, and anti-discrimination laws
  • Introduce malware, scrape content, or otherwise interfere with the platform's operation

Violation of these conduct standards may result in suspension or termination of your account, forfeiture of pending payments, and referral to law enforcement where appropriate.

6. Disclaimers and Limitation of Liability

Platform provided "as is"

PavePlace is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. No warranty as to third-party work

PavePlace makes no representation or warranty regarding the quality, safety, legality, timeliness, or fitness for purpose of any work performed, materials supplied, or hauling services provided by independent parties on the platform. Verification of licenses and insurance is performed as a convenience only and does not constitute a guarantee that a service provider will perform satisfactorily or in compliance with applicable law.

Limitation of liability

Indemnification

7. Dispute Resolution

8. Termination

PavePlace may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, poses a risk to the platform or other users, or for any other reason at PavePlace's discretion. You may close your account at any time through the in-app settings or by contacting hello@paveplace.com.

Upon termination: your right to access the platform ceases immediately; any pending escrow payments will be handled in accordance with the applicable job agreement and these Terms; and provisions of these Terms that by their nature should survive — including Sections 6, 7, and this Section 8 — will continue in effect. 9. Changes to These Terms

PavePlace may update these Terms from time to time. When we make material changes we will update the "Last updated" date at the top of this page and provide notice through the app or by email. Your continued use of the platform after the effective date of revised Terms constitutes your agreement to be bound by them.

If you do not agree to updated Terms you must stop using PavePlace and may close your account.
